Photo & Video Release, Waiver & Irrevocable License Agreement for Program Participants, Business Partners, and Guests

This Photo & Video Release, Waiver & Irrevocable License Agreement (“Agreement”) is entered into as of the date acknowledged electronically by submission of forms or registration for programs (“Effective Date”) by and between Wyoming County Business Center Inc., a New York not-for-profit corporation (“WCBC”), and the undersigned individual, including any affiliated business partners and/or guests (“Participant”).

  1. Consent to Photograph, Record, and Capture Media

Participant, on behalf of themselves and any business partners and/or guests attending or participating with them, hereby knowingly and voluntarily grants WCBC, its employees, agents, contractors, representatives, successors, assigns, and licensees the unrestricted right to photograph, videotape, record, capture, and otherwise document (“Media”) participation in WCBC programs, events, workshops, and related activities, including:

  • Participants, partners, and guest's presence, image, likeness, and voice;
  • Participation in program activities, discussions, and interactions;
  • Any materials, presentations, or business-related content shared or displayed.

Participant acknowledges that Media may be captured in any format or medium now known or later developed.

  1. Irrevocable Grant of Rights; Authorized Use

Participant, on behalf of themselves and their business partners and/or guests, grants WCBC an irrevocable, perpetual, worldwide, royalty-free, fully paid, transferable, and sublicensable license to use, reproduce, publish, display, distribute, transmit, edit, modify, adapt, combine, and otherwise exploit the Media, in whole or in part, for any lawful WCBC purpose, including but not limited to:

  • Websites and digital platforms;
  • Social media and video-sharing platforms;
  • Print publications, brochures, advertisements, and marketing materials;
  • Email communications, public relations, program promotion, and educational content.

This grant includes the right to use the Media with or without names, captions, audio, text, or other materials.

  1. Irrevocable Waiver; No Right to Revoke or Demand Removal

Participant expressly acknowledges and agrees, on behalf of themselves and their business partners and/or guests, that:

  • The rights granted under this Agreement are permanent and non-revocable;
  • Participant and associated individuals waive any and all rights to revoke, rescind, terminate, limit, or condition WCBC’s use of the Media;
  • WCBC shall have no obligation, now or in the future, to remove, recall, edit, alter, or discontinue use of the Media from any platform, including the internet, social media, print publications, or archives, regardless of changes in status, business, or preferences.

This waiver is intended to be binding and enforceable under New York State law.

  1. Waiver of Claims; Release of Liability

To the fullest extent permitted by New York State law, Participant, on behalf of themselves and their business partners and/or guests:

  • Waives any right to inspect or approve the finished Media or its use;
  • Releases and discharges WCBC from any and all claims, demands, damages, or causes of action arising out of or related to the use of the Media, including but not limited to claims for invasion of privacy, right of publicity, defamation, or misappropriation.
  1. No Compensation

Participant acknowledges, on behalf of themselves and their business partners and/or guests, that no monetary or other compensation is due or expected for the capture or use of the Media, and that participation in WCBC programs constitutes sufficient consideration for this Agreement.

  1. Minors

Participant represents and warrants that they have obtained all legally required parental or legal guardian consent for any individual under the age of eighteen (18), including any business partners’ or guests’ minors, who may appear in the Media.

Participant grants, on behalf of any such minor, the same irrevocable rights and waivers contained in this Agreement and agrees to indemnify and hold harmless WCBC from any claims arising from failure to obtain proper consent.

  1. Authority and Indemnification

Participant represents and warrants that:

  • They have full legal authority to enter into this Agreement;
  • They have informed all accompanying business partners and/or guests of the terms of this Agreement and have obtained their consent.

Participant agrees to indemnify, defend, and hold harmless WCBC from any claims, liabilities, losses, or expenses (including reasonable attorneys’ fees) arising from:

  • Any breach of this Agreement; or
  • Failure to obtain necessary permissions or consents from any business partner or guest.
  1. Governing Law; Binding Effect

This Agreement shall be governed by and construed in accordance with the laws of the State of New York.

This Agreement shall be binding upon Participant, their business partners, guests, and any associated businesses, as well as their respective successors and assigns, and shall survive the completion of any program or participation.

  1. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the subject matter herein and supersedes all prior discussions or agreements, whether written or oral.
